The Netherlands remains an attractive location for international companies due to its strong legal framework, strategic EU position, and favorable business environment. However, regulators want to ensure that companies registered in the country have a genuine operational presence, rather than existing only formally.
As we have previously emphasized, maintaining sufficient “local substance” (e.g. physical office, local management, local staff) is increasingly important. While we understand that international entrepreneurs have their own business structures and budgets, it is crucial that someone is effectively working for your Dutch entity.
Although hiring an employee is the most impactful step, you may also consider:
- Appointing a Dutch Resident Director to support local decision-making.
- Maintaining a functional office space even a small office or co-working space can help establish a tangible presence.
- Keeping detailed records of business activity such as contracts, invoices, and correspondence linked to the Dutch entity.
These steps collectively reinforce the perception of a genuinely active enterprise.
If a company cannot demonstrate real operational activity, it may face:
- KVK deregistration
- Conversion of resident VAT status to non-resident
- Banking challenges and credibility issues with partners and counterparties
At Bolder Launch, we guide global clients through this process—whether by setting up payroll, supporting employee onboarding, or helping implement additional measures that reinforce your Dutch operations. Our goal is to make maintaining your presence in the Netherlands straightforward, sustainable, and fully aligned with regulatory expectations.
We can assist with:
- Payroll registration and setup
- Onboarding and compliance management
- Guidance on additional ways to strengthen your local operational profile
