There are a few considerations to make if you want to appoint a new director for your Dutch BV. Fortunately, a notary is not necessary to nominate a director. However, the new director must be properly identified, and the appointment must be made at the Dutch Chamber of Commerce. There are two ways to do this:
- By having the new director physically visit the Chamber of Commerce;
- By remotely sending legalised documents
A former director does not have to come back to the office to officially resign. Without any legalisation, you can complete that step via mail.

Options and requirements to appoint a new director for your Dutch BV
Option 1: a personal visit to the new director
To sign the necessary appointment forms and get registered, we must organise a meeting for the new director of your Dutch BV at the Chamber of Commerce. A new Chamber of Commerce extract may be requested during the meeting, and the corporate changes will be processed immediately.
For this option, we will need the following documents:
Preparation phase:
- Passport copy
- Scanned copy of the proof of address (not older than 3 months)
- The date on which the new director will be appointed
During the appointment with the Chamber of Commerce:
- Original valid passport
- Legalised with an apostille certifying the new director’s address (cannot be older than 30 days during the appointment)
- An original signed form of the current director from the Chamber of Commerce
- Copy of the signed board resolution (If you prefer, Bolder Launch can prepare this for you)
- Copy of the current director’s passport
Option 2: sending legalised documents remotely
The current and new directors you appoint for your Dutch BV must sign the documents in original form, thus we need to prepare them for signing. Upon receipt of the required documents, it will take approximately seven to ten working days before the changes become evident.
For this option, we will need the following documents:
Preparation phase:
- Passport copy
- Scanned copy of the proof of address (not older than 3 months)
- The date on which the new director will be appointed
The following documents should be submitted to the Chamber of Commerce:
- Originally signed and legalised with an apostille form by the current and new director for the appointment of the new director (we will provide you with the exact signing and legalisation requirements)
- Legalised with apostille passport copy of the new director
- Legalised with an apostille certifying the new director’s address (cannot be older than 30 days during the appointment)
- Copy of the signed board resolution
- Copy of the passport of the current director signing on behalf of the company
